Private Membership Commitment Agreement

This Private Membership Commitment Agreement ("Agreement") establishes the mutual commitments, acknowledgments, and obligations between 508 Ministry PMA, a Private Membership Association ("the Association"), and its Members. This Agreement forms part of the private contractual relationship between the Association and each Member, and operates within the framework of constitutional protections afforded to private membership associations under the First and Fourteenth Amendments to the United States Constitution and the Religious Freedom Restoration Act (42 U.S.C. sections 2000bb et seq.). By becoming a Member of 508 Ministry PMA, you affirm that you have read, understood, and voluntarily agree to all terms set forth in this Agreement.

1. Private Membership Association Declaration

1.1 Nature of the Association

508 Ministry PMA is a Private Membership Association formed under the right of free association guaranteed by the First and Fourteenth Amendments to the United States Constitution. The Association exists to serve its Members who operate 508(c)(1)(A) religious organizations by providing ministry management tools, resources, educational materials, and a supportive community within a private membership structure.

"508 Ministry PMA is a private, voluntary association of individuals and organizations who share a common purpose: to manage and advance their 508(c)(1)(A) ministries with professional tools and mutual support. The Association operates outside the scope of public accommodation and commercial enterprise, and all interactions within the Association are between private Members exercising their constitutionally protected rights."

1.2 Organizational Structure

The Association operates under the following structure:

1.3 Purpose and Mission

The Association was established with the following purposes:

  • To provide ministry management software and tools as a private Member benefit
  • To support 508(c)(1)(A) religious organizations in fulfilling their missions
  • To create a community of ministry leaders who share knowledge and best practices
  • To protect the religious liberty and free association rights of its Members
  • To offer educational resources related to ministry management and compliance
  • To operate as a private membership entity outside the scope of public regulation of commercial enterprises

1.4 Not a Public Accommodation

508 Ministry PMA is not a public accommodation, a commercial enterprise offering services to the general public, or a government-regulated entity. The Association is a private membership body, and all services, software, benefits, and resources provided by the Association are available exclusively to its Members as part of the private membership relationship. Membership is voluntary, and the Association reserves the right to accept or decline membership applications at its sole discretion.

2. Constitutional Standing and Legal Framework

2.1 First Amendment Protections

The Association and its Members operate under the protections of the First Amendment to the United States Constitution, which guarantees:

  • Freedom of Religion: The right of Members to freely exercise their religious beliefs and operate their ministries according to their faith
  • Freedom of Association: The right of individuals to voluntarily associate with one another for lawful purposes, including the formation of private membership associations
  • Freedom of Speech: The right of Members to communicate freely within the private membership context

2.2 Fourteenth Amendment Protections

The Fourteenth Amendment to the United States Constitution provides additional protections relevant to the Association:

  • Due Process: Members are entitled to fair and reasonable procedures in all Association matters, including dispute resolution and membership decisions
  • Equal Protection: All Members are treated equitably under the Association's policies and agreements
  • Liberty Interests: The right of Members to engage in private contractual relationships free from unreasonable government interference

2.3 Religious Freedom Restoration Act (RFRA)

The Association and its Members are further protected under the Religious Freedom Restoration Act, 42 U.S.C. sections 2000bb et seq., which provides that:

  • The government shall not substantially burden a person's exercise of religion, even if the burden results from a rule of general applicability
  • If the government does substantially burden religious exercise, it must demonstrate a compelling governmental interest and that the burden is the least restrictive means of furthering that interest
  • Members' operation of their 508(c)(1)(A) ministries constitutes the exercise of religion under RFRA

2.4 Right of Free Association

The Supreme Court of the United States has repeatedly affirmed the right of individuals to form private associations for lawful purposes. This right includes:

  • The right to establish membership criteria and admit or decline members
  • The right to establish internal rules and governance structures
  • The right to conduct the affairs of the association according to its own bylaws
  • Protection from government interference in the internal affairs of the association
  • The right to provide benefits, services, and resources exclusively to members
Legal Standing: 508 Ministry PMA asserts its standing as a private membership association operating under the constitutional protections described above. All agreements between the Association and its Members are private contractual agreements between consenting parties, and the Association's operations are not subject to regulation as a public accommodation or commercial enterprise.

3. Member Acknowledgments

3.1 Required Member Acknowledgments

By becoming a Member of 508 Ministry PMA, each Member makes the following acknowledgments:

Member Acknowledgment Statements

  • "I acknowledge that I am entering into a Private Membership Association." I understand that 508 Ministry PMA is a private membership body, not a public accommodation or commercial enterprise, and that all services and benefits are provided within the private membership context.
  • "I acknowledge that the Association does NOT provide legal advice." I understand that no information, documents, templates, or communications provided by the Association or its representatives constitute legal advice, and that I should consult with a qualified attorney for all legal matters.
  • "I acknowledge that the Association does NOT provide tax advice." I understand that no information, documents, templates, or communications provided by the Association or its representatives constitute tax advice, and that I should consult with a qualified tax professional for all tax matters.
  • "I acknowledge that no specific results or outcomes are guaranteed." I understand that the Association provides tools, resources, and educational materials, but does not guarantee any particular outcome, result, or level of success for my ministry or organization.
  • "I voluntarily enter into this agreement of my own free will." I confirm that I am entering into this Private Membership Commitment Agreement voluntarily, without coercion or undue influence, and that I have had the opportunity to review all terms and seek independent counsel before agreeing.

3.2 Additional Member Acknowledgments

Each Member further acknowledges and agrees that:

  • The Association does not provide licensed professional services of any kind, including but not limited to legal, tax, accounting, financial planning, or investment advice
  • All information provided by the Association is for educational and informational purposes only within the private membership context
  • The Member is solely responsible for ensuring their ministry's compliance with all applicable laws and regulations
  • The Member has read and agrees to the PMA Terms of Service, Terms of Service, Terms of Agreement, Privacy Policy, Payment Policies, and Software Policy
  • The Member understands that membership may be terminated for violation of Association policies
  • The Member's relationship with the Association is a private contractual relationship between consenting parties

3.3 Waiver of Government Oversight

Each Member acknowledges and agrees that:

  • As a private membership association, 508 Ministry PMA is not subject to the same regulatory framework as public businesses or commercial enterprises
  • The Member voluntarily waives any expectation of government regulatory oversight over the private membership relationship between the Member and the Association
  • Disputes between the Member and the Association are to be resolved through the private dispute resolution mechanisms established in this Agreement and the PMA Terms of Service, not through government regulatory agencies
  • The Member understands that this waiver does not affect the Member's right to pursue legal remedies in a court of competent jurisdiction after exhausting the dispute resolution procedures described herein
Important Notice: These acknowledgments are material terms of membership. Members who cannot make these acknowledgments in good faith should not join the Association. If you have questions about these acknowledgments, please contact legal@508ministry.com before proceeding with membership.

4. Mutual Obligations

4.1 Foundation of the Relationship

The relationship between 508 Ministry PMA and its Members is built on a foundation of mutual obligations, shared purpose, and good faith. Both the Association and its Members commit to upholding the principles and standards set forth in this Agreement.

4.2 Good Faith and Fair Dealing

Both the Association and its Members agree to act in good faith and deal fairly with one another in all aspects of the membership relationship, including:

  • Honest and transparent communication
  • Timely fulfillment of obligations
  • Reasonable interpretation of this Agreement's terms
  • Prompt notification of any material changes or issues
  • Cooperative approach to resolving disagreements

4.3 Confidentiality

Both parties commit to maintaining the confidentiality of sensitive information:

  • The Association will protect Member data in accordance with the Privacy Policy
  • Members will not share proprietary Association materials, software, or intellectual property with non-Members
  • Both parties will handle financial information, personal data, and ministry records with appropriate care
  • Confidentiality obligations survive termination of membership

4.4 Respect and Professionalism

Both the Association and its Members commit to conducting all interactions with mutual respect and professionalism:

  • Treating one another with courtesy and dignity
  • Communicating clearly and honestly
  • Respecting differing perspectives and approaches within the ministry community
  • Addressing concerns through proper channels rather than public complaints
  • Maintaining the reputation and integrity of the Association and its Members

5. The Association's Commitments to Members

5.1 Platform and Service Commitments

508 Ministry PMA commits to providing its Members with the following:

5.2 Data Commitments

The Association commits to the following regarding Member data:

  • No Sale of Data: Member data will never be sold to third parties
  • Data Portability: Members may export their data at any time in standard formats
  • Data Security: Industry-standard security measures protect all Member data
  • Transparent Practices: Clear communication about data collection, use, and retention
  • Breach Notification: Prompt notification to affected Members in the event of a data breach

5.3 Communication Commitments

The Association commits to:

  • Honest and transparent communication about capabilities and limitations
  • Clear pricing with no hidden fees
  • Advance notice (90 days minimum) for material pricing changes
  • Proactive communication during service disruptions
  • Regular updates on platform development and improvements

5.4 Quality and Service Standards

The Association maintains the following quality standards:

  • All updates are tested before deployment to the production platform
  • Security scanning is performed on all code changes
  • Support staff are trained in ministry operations and platform functionality
  • Platform features are designed with input from practicing ministry leaders
  • Service level commitments include uptime credits when targets are not met

6. Member Commitments to the Association

6.1 Membership Responsibilities

Each Member commits to the following responsibilities:

  • Abide by Association Policies. I will comply with the PMA Terms of Service, Terms of Service, Terms of Agreement, Privacy Policy, Payment Policies, Software Policy, and this Member Commitment Agreement.
  • Maintain Accurate Information. I will provide truthful and accurate information to the Association and keep my membership information current.
  • Pay Membership Contributions Timely. I will pay all membership contributions and fees when due, and communicate proactively if I anticipate difficulty making a payment.
  • Protect Account Security. I will maintain the confidentiality of my login credentials, enable security features, and immediately report any unauthorized access.
  • Use the Platform Appropriately. I will use the software platform only for legitimate ministry management purposes and in accordance with the Acceptable Use Policy and Software Policy.
  • Respect Other Members. I will treat other Members, Association staff, and support personnel with courtesy and professionalism.
  • Protect Association Property. I will not copy, share, distribute, or misuse the Association's software, intellectual property, or proprietary materials.
  • Maintain Data Backups. I will regularly export and back up my ministry data as recommended by the Association.
  • Seek Qualified Professional Advice. I will consult with qualified attorneys, tax professionals, and other licensed professionals for legal, tax, and compliance matters, and will not rely on the Association for such advice.
  • Communicate Through Proper Channels. I will direct concerns, complaints, and disputes through the Association's established resolution procedures rather than public forums.
  • Uphold the Private Nature of the Association. I will respect and maintain the private membership character of the Association and will not publicly represent the Association's services as commercial products available to the general public.
  • Provide Constructive Feedback. I will share honest feedback about the platform and services to help the Association improve for all Members.

6.2 Compliance Obligations

Each Member is solely responsible for:

  • Ensuring their ministry complies with all applicable federal, state, and local laws
  • Maintaining proper 508(c)(1)(A) status and documentation
  • Filing required reports and returns with the IRS and other agencies
  • Complying with data protection and privacy laws applicable to the Member's jurisdiction
  • Obtaining and maintaining any required licenses, permits, or registrations

7. Private Contractual Relationship

7.1 Nature of the Relationship

The relationship between 508 Ministry PMA and each Member is a private contractual relationship between consenting parties. This relationship is governed by the agreements voluntarily entered into by the parties and the constitutional protections applicable to private membership associations.

7.2 Not an Employment or Agency Relationship

This Agreement does not create any employment, agency, joint venture, or partnership relationship between the Association and any Member. Neither party has the authority to bind the other or to make representations on behalf of the other without express written authorization.

7.3 Independence of Members

Each Member is an independent entity responsible for its own operations, decisions, and compliance obligations. The Association provides tools and resources, but does not direct, control, or manage the Member's ministry operations.

7.4 Membership is Not a Franchise

Membership in 508 Ministry PMA does not constitute a franchise, distributorship, or business opportunity. Members do not acquire any rights to use the Association's name, brand, or trademarks for their own commercial purposes.

7.5 Private Contractual Agreements

All agreements between the Association and its Members, including this Agreement, the PMA Terms of Service, Terms of Service, Terms of Agreement, Privacy Policy, Payment Policies, and Software Policy, are private contractual agreements between consenting parties. These agreements are enforceable under general principles of contract law and are protected by the constitutional provisions described in Section 2 of this Agreement.

Important: By maintaining membership in the Association, each Member reaffirms their acceptance of the private contractual nature of the relationship and their understanding that the Association operates as a private membership body, not as a public business or government-regulated entity.

8. Waivers and Disclaimers

8.1 No Legal Advice

The Association does not provide legal advice, tax advice, or licensed professional services of any kind. All information, documents, templates, tools, educational materials, and communications provided by the Association or its representatives are for informational and educational purposes only within the private membership context. Members should consult with qualified legal, tax, and other professional advisors for all matters requiring professional judgment.

8.2 No Guarantee of Results

The Association provides tools, resources, and educational materials to support its Members' ministry operations. The Association does not guarantee any particular outcome, result, or level of success. Each Member's results will depend on their own efforts, decisions, circumstances, and many other factors beyond the Association's control.

8.3 Limitation of Liability

To the maximum extent permitted by law:

  • The Association's total liability to any Member for any claim arising out of this Agreement or the membership relationship shall not exceed the total membership contributions paid by the Member during the twelve (12) months preceding the claim
  • The Association shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost data, or business interruption
  • The Association shall not be liable for actions or omissions of third parties, including third-party service providers, payment processors, or integration partners

8.4 Waiver of Government Regulatory Oversight

Each Member acknowledges and agrees that:

  • As a private membership association, 508 Ministry PMA operates under constitutional protections that limit government regulatory oversight of its internal affairs
  • The Member voluntarily waives any expectation that government consumer protection agencies will regulate or oversee the private membership relationship
  • The Member agrees to resolve disputes through the private dispute resolution procedures established in this Agreement and the PMA Terms of Service
  • This waiver is made voluntarily and with full understanding of its implications
  • This waiver does not affect the Member's right to seek judicial relief after exhausting the private dispute resolution procedures

8.5 Indemnification

Each Member agrees to indemnify, defend, and hold harmless 508 Ministry PMA and its officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:

  • The Member's use of the platform or violation of this Agreement
  • The Member's violation of any law, regulation, or third-party right
  • The Member's ministry operations, decisions, or actions
  • Any content or data provided by the Member through the platform
  • Any claim by a third party arising from the Member's use of the platform

8.6 Assumption of Risk

Each Member acknowledges that the operation of a ministry involves inherent risks, including financial, legal, and regulatory risks. The Member assumes all risks associated with their ministry operations and use of the platform, and releases the Association from liability for any losses arising from those risks.

9. Governing Law and Dispute Resolution

9.1 Governing Law

This Agreement is governed by the general principles of contract law and the constitutional protections applicable to private membership associations within the United States of America, without regard to conflict of laws principles.

9.2 Dispute Resolution Procedure

Any dispute, controversy, or claim arising out of or relating to this Agreement, the membership relationship, or any Member's use of the Association's platform or services shall be resolved as follows:

  1. Step 1 -- Internal Resolution (Required): The Member and the Association shall first attempt to resolve the dispute through direct communication and good-faith negotiation. The Member shall submit a written description of the dispute to legal@508ministry.com. The Association shall respond within fifteen (15) business days. The parties shall engage in good-faith efforts to resolve the dispute for a period of thirty (30) days from the date of the initial written notice.
  2. Step 2 -- Mediation (Required): If the dispute is not resolved through internal resolution, the parties shall submit the dispute to mediation. The mediator shall be a neutral third party mutually agreed upon by the parties, or if the parties cannot agree, appointed by the American Arbitration Association ("AAA"). The costs of mediation shall be shared equally between the parties. Mediation shall be conducted in Cheyenne, Wyoming, or at another location agreed upon by the parties, and shall be completed within sixty (60) days of the request for mediation.
  3. Step 3 -- Binding Arbitration (Final): If mediation does not resolve the dispute, the dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Cheyenne, Wyoming. The arbitrator shall have authority to award any remedy that a court of competent jurisdiction could award. The arbitrator's decision shall be final and binding on both parties, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

9.3 Class Action Waiver

The Member agrees that any dispute resolution proceedings will be conducted on an individual basis only. The Member waives the right to participate in a class action lawsuit, class-wide arbitration, or any other consolidated or representative proceeding against the Association. All claims must be brought in the Member's individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

9.4 Statute of Limitations

Any claim or cause of action arising out of or relating to this Agreement or the membership relationship must be filed within one (1) year after the date on which the claim or cause of action arose. Claims filed after this one-year period are permanently barred and may not be pursued through any dispute resolution procedure or court of law.

9.5 Costs and Fees

Unless the arbitrator determines otherwise, each party shall bear its own costs and attorney fees in connection with any dispute resolution proceeding. The prevailing party in any arbitration may be awarded reasonable attorney fees and costs at the arbitrator's discretion.

9.6 Survival

The dispute resolution provisions of this Agreement survive termination of membership and shall apply to all disputes arising out of or relating to this Agreement or the membership relationship, regardless of when the dispute arises.
